Terms of Use

In addition to the Disclaimer and Terms, Privacy Policy and other terms set forth at https://www.algo-law.com/, which are incorporated by reference into these terms (except to the extent these terms conflict with any such terms, in which case these terms shall control to the extent of any such conflict), the following terms apply to your use of the Algorithm Law Platform (the "Platform") and your agreement to these terms is required before you are permitted to use the Platform. The Platform is made available by Algorithm Law PC (“Algorithm Law” or “the Firm”), a California Professional Corporation, for the exclusive purpose of general information and convenience solely for authorized users of the Platform. Unless and except to the extent that an engagement agreement is entered into by Algorithm Law relating to your use of the Platform, neither the Platform nor any content therein is intended to convey Algorithm Law’s legal position on behalf of any client or to convey Algorithm Law's legal advice to any person or entity and therefore should not be considered or relied upon as legal advice in any respect. The Platform and the content therein are not themselves a substitute for legal counsel and you should not act upon any information or output produced by the Platform without first seeking counsel from Algorithm Law under an engagement agreement or from a qualified, licensed attorney in your state. If you are invited to use the Platform by a client or other user invited by Algorithm Law, your usage of the Platform does not create, and Algorithm Law expressly disclaims, any attorney-client relationship between you or any organization you represent, on the one hand, and Algorithm Law, on the other, purportedly arising in connection with your use of the Platform and Algorithm Law strongly encourages you to seek qualified, licensed counsel to advise you. You acknowledge and agree that the output and content of the Platform have not been prepared with your specific circumstances, requirements or needs in mind and may not be suitable for such circumstances, requirements or needs. Agreement and document terms should be negotiated and finalized based on your specific circumstances and the relevant documents should be tailored to meet the specific legal and commercial requirements of the contemplated transaction or matter. Additional documents may be required for the contemplated transaction or matter. The Platform does not provide tax, regulatory or accounting advice of any kind and any discussion of tax matters is not intended to be used or written to be used, and cannot be used, for the purpose of avoiding tax penalties under the Internal Revenue Code. The Firm makes no representations or warranties of any kind, express or implied, as to the operation or content or output of the Platform. Algorithm Law expressly disclaims, to the maximum extent permitted under applicable law, all guarantees, warranties, conditions and representations of any kind, whether express or implied, and whether arising under any statute, law, commercial use or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Review all documents carefully for accuracy before using them. You confirm that you have the authority to share any information or data that you provide in connection with your use of the Platform, including any information or data you provide about any entity or any individual. You grant Algorithm Law and its affiliates a royalty-free license to copy, store, record, transmit, maintain, display, view, print, or otherwise use information or data you provide to the extent necessary to provide the services Algorithm Law provides through the Platform. You agree that the foregoing license to Algorithm Law and its affiliates shall remain in effect with respect to a copy of information or data you provide for such period as Algorithm Law deems in its sole discretion appropriate for its internal recordkeeping and administrative purposes. In addition, you grant to Algorithm Law and its affiliates a worldwide, perpetual (including following the end of your usage of the Platform), irrevocable, royalty-free license to analyze and to use and incorporate into Algorithm Law and its affiliates’ services or products (i) any suggestion, enhancement request, recommendation, correction or other feedback provided by you relating to the operation of the Platform and (ii) on an anonymized or aggregated basis any information or data you provide. Algorithm Law’s counsel is licensed to practice only in California, Illinois, New York and the District of Columbia. If you wish to communicate confidential or proprietary information to Algorithm Law, a signed engagement agreement with Algorithm Law should first be executed prior to communication of any such information. In no event shall Algorithm Law or any of its shareholders, officers, employees, agents or affiliates be liable, directly or indirectly, under any theory of law (contract, tort, negligence or otherwise), to any person or entity, for any claims, losses or damages (whether direct, indirect special, incidental, punitive or consequential or otherwise), resulting from, arising out of or in connection with the creation, use of or reliance on the Platform. In some jurisdictions, the contents of the Platform may be considered Attorney Advertising. Prior results do not guarantee a similar outcome. You agree not to use the Platform in violation of any applicable law. Without limiting the foregoing, you agree you will not use the Platform in connection with (a) the infringement of Intellectual Property Rights including Algorithm Law’s rights in its marks and its work product; (b) the unauthorized transmission of unsolicited commercial electronic mail; (c) the transmission of defamatory materials; or (d) fraud. You will not violate, attempt to violate, or knowingly facilitate the violation of the security (including access control or authentication systems) or integrity of the Platform. The Platform including the information therein is protected by United States and international copyright laws. All rights are reserved.Subject to the provisions of these terms, Algorithm Law grants you, to the extent you are an authorized user of teh Platform, a limited, non-exclusive, non-transferable and terminable license solely to use the Platform for your business operations conducted on the Platform and solely in accordance with these terms. Except for the limited rights expressly granted by the foregoing license, Algorithm Law shall own and retain all rights, title and interest in and to all Intellectual Property Rights in, to and under the Platform and the services thereunder and nothing in these terms shall be construed to confer upon you any ownership interest, license or other Intellectual Property Rights of any kind relating to the Platform, the services thereunder or any other products or services of Algorithm Law, whether by implication, estoppel or otherwise. “Intellectual Property Rights” means all (i) patents, patent applications, patent disclosures and inventions, (ii) Internet domain names, trademarks, service marks, trade dress, trade names, logos and corporate names and registrations and applications for registration thereof together with all of the goodwill associated therewith, (iii) copyrights (registered or unregistered) and copyrightable works and registrations and applications for registration thereof, (iv) mask works and registrations and applications thereof, (v) computer software, source code, programs, frameworks, architecture, data, databases and documentation thereof, (vi) trade secrets and other confidential information (including ideas, formulas, compositions, inventions (whether patentable or unpatentable and whether or not reduced to practice)), know-how, manufacturing and production processes and techniques, research and development information, drawings, specifications, designs, plans, proposals, technical data, and copyrightable works, financial and marketing plans and customer and supplier lists and information, and (vii) copies and tangible embodiments thereof (in whatever form or medium). In using the Platform, you agree that you will not (i) make the Platform available to anyone other than yourself, (ii) sell, resell, license, sublicense, distribute, make available, rent or lease the Platform, (iii) use the Platform to store or transmit infringing, libelous or otherwise unlawful or tortious material, (iv) use the Platform to transmit, store or enable any worm, virus, trojan or other malicious code, script, file or program, (v) interfere with or attempt to gain unauthorized access to the Platform or its related systems or networks, (vi) modify, copy, or create derivative works based on the Platform or any part, feature, function or user interface thereof, (vii) copy content generated or displayed by the Platform other than as expressly permitted by the Firm, (viii) frame or mirror any part of the Platform, (ix) disassemble, reverse engineer or decompile or attempt to reconstruct the Platform or use access to the Platform to attempt to build a competitive product or service or any product or service with similar ideas, features, functions or graphics of the Platform, or (x) copy any ideas, features, functions or graphics of the Platform. You agree that any dispute arising out of or in connection with the Platform will be governed by the laws of the State of California without reference to conflict of laws principles that would require the application of the laws of any other jurisdiction, and you submit to the exclusive jurisdiction and venue of the state and federal courts located in Alameda County, California. In the event that you gain access to information to which you are not entitled to have access, you agree that you will immediately notify Algorithm Law and lawfully destroy all copies of such information in your possession.
